Terms & Conditions

Please read the following terms and conditions carefully before using OdoShare services.

Please read this agreement carefully before subscribing to any of the cloud systems provided by OdoShare, one of its agents, or its representatives, as subscribing means acceptance of the terms and conditions herein. If you do not agree to all of the terms and conditions in this agreement or any updated version of it, you must not use the service or any part of it, as this agreement between you and OdoShare is limited solely to the terms and conditions stated in it.

Definitions

  • Service Provider: OdoShare, one of its agents, or its representatives.
  • The Service: the development, deployment, and hosting of the Odoo platform — an enterprise resource planning service built on the cloud computing model, whose features and characteristics are described on the service's official website.
  • The Subscriber: the individual or entity (commercial, governmental, or non-profit) for whom the service is provided.
  • Usage: the subscriber accessing the service to use the functions within it — including but not limited to accounting, sales, purchasing, and inventory management — as included in the subscription and chosen by the subscriber.

Terms

Under the terms and conditions of this license, the subscriber is granted a limited, non-exclusive license to use one of OdoShare's systems or services for a defined period starting from acknowledgment of the content of this agreement, and it remains in effect as long as the subscriber pays the subscription fees stated on the website. In the event of a breach of the terms of this agreement, the service provider has the right to cancel the subscription and delete the subscriber's data.

How the Platform Works

  1. The subscriber provides us with a copy of the commercial registration, tax number, and national address.
  2. The subscriber transfers the hosting fee to the service provider's account; upon transfer, the client is deemed to have reviewed and accepted this agreement, which then takes effect along with the obligation to abide by all its terms.
  3. A database is created for the client within three days of the transfer date.
  4. The client is provided with an instructional video about the platform, along with a remote session if training is needed — one time only.
  5. If the client needs training again, or training for new employees, this is subject to an additional fee set by the service provider.
  6. All entries within the platform are the responsibility of the subscriber.
  7. The platform does not accept code modifications or changes to the form of inputs or outputs; if the subscriber wishes to make any modifications, they must submit a request to the service provider to study it and decide on its feasibility. If feasible, a quote is prepared and work begins after the full value of the modifications is paid.

Payment & Renewal

The service or optional paid services (such as training) require the subscriber to log in to the website and select "Subscribe" or "Add"; by doing so, they agree to pay the stated fees for that service annually as indicated in the service description. Service fees are charged in advance on the day the subscription or upgrade takes place to cover usage for the stated period, and no compensation is made for the remaining period unless stated in the service description.

Automatic Renewal

Unless the subscriber notifies the service provider via the website before the end of the subscription period of their wish to cancel or upgrade, the subscription is automatically renewed with its current features, and the service provider is authorized to collect the subscription fee annually as indicated in the service description, using the credit cards or any payment method registered by the subscriber with the service provider.

Security Precautions

The subscriber must take security precautions to prevent unauthorized persons from accessing the service, including not sharing the login link and usernames and passwords with anyone else; the service provider does not guarantee against any damage resulting from the subscriber's failure to take the necessary precautions to protect their login information.

Support

During the subscription period, the service provider offers technical support during the working hours announced on the website and as it sees appropriate. Support includes the following:

  1. Electronic means (email) to help the subscriber understand and resolve the issue.
  2. Performing updates, improvements, or other service-related changes at no additional cost to the subscriber.
  3. Maintenance: the subscriber agrees that the service provider may carry out necessary maintenance from time to time for upgrades, new features, backups, or patching vulnerabilities. This may involve service downtime not exceeding one and a half days per year; if exceeded, the subscriber is compensated by extending their subscription by twice the number of downtime days.
  4. Support via a dedicated WhatsApp group through which questions are sent; the support team responds within a window starting at 48 working hours and may increase depending on the assessment of the issue.
  5. Clients must keep to asking questions only, without other discussions, criticism, or language that violates general etiquette, or addressing the team inappropriately; the purpose of this group is to find solutions and simplify the platform. In case of non-compliance, the support group is closed and support becomes available via info@odoshare.com with an average of 48 working hours.
  6. A private WhatsApp group that no one outside it can view or join.
  7. All group members are added at the subscriber's responsibility; to remove any number, an official letter from the subscriber referencing the number and bearing the organization's stamp and signature is required.
  8. The group contains platform links and confidential numbers, so the subscriber must maintain its privacy.
  9. All support requests are shared in the group, and the support team will work on them with maximum effort in the least possible time.
  10. The subscriber must provide a clear, detailed video of the issue so it can be fully understood; questions without an explanatory video are not considered.
  11. These groups exist to provide the best service, so subscribers may not criticize, file complaints, or express opinions within the group; if any, a message should be sent to info@odoshare.com explaining all points.
  12. The group is dedicated to technical support only; no conversations or voice notes outside the support topic are allowed.
  13. If the client does not comply with the above points, the group is closed immediately and support is moved to info@odoshare.com, or a new agreement is made with additional paid training or support hours as determined by the service provider.

Data Retention

The subscriber acknowledges that if they stop using the service (by their request or due to non-payment), the service provider grants them a grace period of five (5) days to pay while allowing full use of the service's capabilities and access to their data. If payment is not made after the grace period expires, the service provider has the right to suspend the subscription, and after ten (10) days the subscription is cancelled and all of the subscriber's data is erased, with no guarantees of recovering the data later. In the trial package, data is erased immediately after the trial period ends.

Indemnification

The subscriber agrees not to harm the service provider or its property, contractors, licensors, managers, employees, representatives, or agents, and to bear all costs of claims and expenses incurred if damage and breach of the agreement are proven, including legal fees.

Non-Transferable Agreement

This agreement is exclusive to the subscriber, who must not assign or transfer any rights or obligations under it to any third party.

Amendment

The service provider has the right, as it sees appropriate, to modify or replace any part of this agreement. It is the subscriber's responsibility to review any updates periodically, as the provider announces changes on the website and to the registered email, and the subscriber's continued access or use constitutes implied acceptance of the modifications. The provider may also add additional features to the system in the future, all subject to the terms of this agreement.

Termination

If the subscriber wishes to stop the service, they may do so by not paying the subscription or by notifying the service provider via the website, in which case their data is erased. The service provider also has the right to notify the subscriber of stopping the service and grant them a one-month grace period to copy their data without stating reasons. All contract provisions that continue by their nature remain in effect after termination, such as indemnities, warranties, and disclaimers.

Privacy

The service provider is keen to respect the subscriber's privacy and all data entered during use, and not to access their account or copy their data except for the purpose of keeping a backup on their behalf only. The provider retains the data necessary for the subscription (name, email, and contact information), and relevant parties — employees, contractors, or affiliated entities who need that data to process it on its behalf — may be given access, having acknowledged not to disclose it. Some of them may be outside the subscriber's country, and using the service means accepting the transfer of data abroad for processing. The provider reserves the right to send emails to the subscriber about new features or important information, as well as to publish some of its responses to inquiries (such as support requests) to help other subscribers after removing anything that could identify the subscriber.

Business Transfer

If the service provider or parts of its business are acquired by a third party, the information of subscribers or visitors is considered among the assets transferred to it, and the subscriber acknowledges that the third party may use their information as stated in this agreement. In the event of the provider's bankruptcy or exit from the market, it undertakes to grant the subscriber access to its dedicated server to copy their data for a full month from the date of bankruptcy or exit.

Governing Law

Disputes or claims of violation of this agreement are settled in accordance with the laws in force in the Kingdom of Saudi Arabia.

Agreement Appendix

The service provider follows all rules and laws within the Kingdom of Saudi Arabia, so all subscribers abide by what Saudi law approves regarding what the service provider offers. This agreement is binding on all of our clients from the moment of paying the subscription or any other fees, or beginning to use the services or products provided by us.
